Ben,

If your ethernet card is shoowing up as using the same irq as your modem it
probably is pnp enabled.  If this is the case and your ethernet card has
jumpers on it then disable pnp, and set the appropriate values for io and
irq.  If the ethernet card does not have jumpers, than you will have to
either enable the modem as pnp if that is possible, or else change the port
it is setup on by the jumpers.  
Remember that with 2.4 kernels PnP autoconfigure is now part of the kernel
so the isapnp tools may not work properly.  
I would have thought that the kernel would not dish out irq 3 to a nic, as
it the default irq for ttyS1 (com 2), and ttyS3 (com 4).  
Do you have isapnp support and isapnp-autoconfig built into the kernel?

If you did not enable it in the kernel then you may be able to fix things
by enabling pnp support on both cards, and using isapnp tools to set the
appropriate values.  Read the isapnp tools manpages for help with that 

If you did enable it you may if you are really keen read the documentation
that comes with the kernel in ..../linux/Documentation/isapnp.txt, and
force the pnp settings that you like. Tread carefully tho as wrong settings
could cause a kernel lock up.
