It's possible the dist-upgrade gave you a new kernel, and that's
causing problems (although it would have been more usual to see them
on first boot after upgrade, rather than second).  It could also be
that the kernel is fine, but that lilo/grub did not run properly after
the upgrade (although again, unusual that this would happen on second
boot and not first).

In any case, can you boot with a rescue disk and mount hdb? (use CD-1
of your install set if available and press F3 when the boot prompt
appears, or use Knoppix).  If so, what do you get with an 'ls /'?  You
can at least rule out fs corruption/hardware problems if this works.

Hopefully your post to the debian-user list will generate something
more useful, but this is something to try in the meantime.
