SuSE 8.2 works just fine with a SiS900 ethernet card. What do you have
the rtl8139 card connected to? Many/most ADSL modems for example have
crappy ethernet ports, which work when connected to an expensive
ethernet card, but lock up when connected to a cheap one. Rtl8139, when
connected to other rtl8139, or any other motherboard ethernet port, are
very reliable. Try it with a hub in between. If it works then, some of
your ports are crappy.

You could also have a faulty chipset on your mobo, your VGA problems
suggest as much. Many SiS don't have a good reputation. How old is the
mobo? Especially if it's not new, try booting with acpi=off,
acpi=oldboot, and pci=noacpi at the boot prompt.
