Not true.  The most common reason a package is held back is if its
dependencies require the deinstallation of another package.

For example:

foo-1.0.0 requires libbar2-2.0.0
foo-1.2.0 requires libbar3-3.2.8

Apt-get will not upgrade foo in an upgrade or a dist-upgrade, as it
would require libbar2 to be deinstalled and libbar3 to be installed.

You would need to explicitly tell apt to reinstall foo.

but packages which are held back are done deliberately because they
won't
work otherwise..
